This Service Agreement ("Agreement") is entered into between AI Sales Engine ("AISE," "we," "us") and the client identified at signing ("Client," "you"). It governs the delivery of the AI Sales Engine platform and all associated services. This Agreement is designed to mirror exactly the commitments made on the AISE website. If any conflict exists between this Agreement and website representations, this Agreement governs.
This Agreement becomes binding upon both parties' execution and remains in effect until terminated in accordance with Section 4.
AISE agrees to provide the AI Sales Engine platform at the tier selected by the Client at signing (Growth, Scale, or Enterprise). Services include:
AISE operates the engine on the Client's behalf. The Client is not required to manage campaigns, hire additional marketing staff, or coordinate between vendors. All operations described above are handled by AISE.
Fees are determined by the Client's employee count at time of signing and correspond to the tier selected:
The Activation Fee covers the full buildout and the first two months of engine operation (days 1–60). No additional invoice is issued until month three. Monthly fees are billed automatically from month three onwards.
Activation Fee Refund Policy: The Activation Fee is fully refundable if the Client chooses not to deploy the engine for any reason, provided the Client notifies AISE in writing before deployment commences. Once deployment has commenced, the Activation Fee is non-refundable. If AISE fails to deploy the engine within 30 days of receiving the Activation Fee, the Client is entitled to a full refund upon written request.
No Fixed Term. No Early Termination Fee. This Agreement has no minimum commitment period, no fixed contract term, no auto-renewal clause, and no early termination fee. Either party may terminate this Agreement with one calendar month's written notice, effective at the end of the notice period.
Cancellation notice must be delivered in writing via email to the AISE account contact on record. The notice period begins on the date AISE confirms receipt in writing. The Client's final monthly invoice will cover the notice period month only. No further charges are incurred after the notice period concludes.
There are no penalties, fees, or financial obligations associated with cancellation beyond the final monthly fee covering the notice period.
Upon cancellation or termination of this Agreement, the Client retains full and permanent ownership of all of the following, with no conditions or ongoing obligations to AISE:
Technology License: This Agreement does not grant the Client any ongoing license, right of access, or continued use of AISE's proprietary technology platform, AI systems, software, or infrastructure after termination. The outputs and data described above transfer to the Client. The technology that produced them does not.
AISE will deliver all Client-owned materials in standard, portable formats within 14 business days of the final day of service. AISE will permanently delete all Client data from its systems within 30 days of delivery unless otherwise required by law.
AISE operates from a basis of numerical accountability. Every campaign deployed under this Agreement will include a stated numerical objective, a defined time target, and an expected ROI calculated before the campaign begins.
The performance figures referenced on the AISE website and in supporting materials are modeled outcomes — built from real deployment data and calibrated to each tier. They are not guarantees. They represent campaign and activity level goals the engine is designed to achieve, adjustable to match the Client's specific objectives. AISE's accountability to these goals is enforced by the no-term structure of this Agreement — performance is always the focus because either party may exit if it is not met.
When the Client's qualified sales pipeline doubles — as defined and measured by AISE's pipeline reporting methodology agreed upon at onboarding — AISE and the Client will jointly donate the equivalent of one month's platform fee to the American Red Cross Disaster Relief program (redcross.org). AISE contributes fifty percent and the Client contributes fifty percent of that combined amount. This milestone applies at all tiers and for each qualifying pipeline doubling event during the term of this Agreement.
The pipeline doubling threshold and measurement methodology will be documented in the Client onboarding materials and agreed upon in writing before engine deployment commences.
Both parties agree to keep confidential all non-public information shared during the engagement, including but not limited to business strategies, financial information, client lists, campaign data, and proprietary methodologies. This obligation survives termination of this Agreement for a period of three years.
AISE will not use the Client's business information, data, or materials to serve any other client or for any purpose beyond delivering the services described in this Agreement.
AISE's total liability under this Agreement shall not exceed the total fees paid by the Client in the three months preceding the event giving rise to the claim. AISE is not liable for indirect, consequential, or speculative damages, including lost profits, arising from the performance or non-performance of services under this Agreement.
Nothing in this section limits either party's liability for fraud, gross negligence, or willful misconduct.
This Agreement is governed by the laws of the State of Texas. Any dispute arising under this Agreement that cannot be resolved through good-faith negotiation between the parties shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in Austin, Texas.
This Agreement, together with the onboarding documentation agreed upon at signing, constitutes the entire agreement between the parties and supersedes all prior representations, discussions, or agreements. Amendments require written consent from both parties.
